To conduct a non-binding advisory vote approving executive compensation; 4. To conduct a non-binding advisory vote on the frequency of future advisory votes on executive compensation; 5. To approve the American Battery Technology Company 2024 Employee Stock Purchase Plan; 6. To approve an amendment to our articles of incorporation, as amended, to increase the number of our authorized shares of common stock from 80,000,000 to 250,000,000; and 7. To approve one or more adjournments of the Annual Meeting to a later date or dates to solicit additional proxies if there are insufficient votes to approve any of the proposals at the time of the Annual Meeting. The Annual Meeting will be a virtual meeting of shareholders.
