Item 1.01 Entry into a Material Definitive Agreement. On December 16, 2025, Arbor Realty SR, Inc., a Maryland corporation (the "Issuer") and a subsidiary of Arbor Realty Trust, Inc., a Maryland corporation (the "Parent"), completed the issuance and sale of $400 million aggregate principal amount of its 8.50% Senior Notes due 2028 (the "Notes"). The Notes were issued under an indenture, dated as of December 16, 2025 (the "Indenture"), among the Issuer, the Parent and UMB Bank, N.A., as trustee (the "Trustee"). The Issuer intends to use a portion of the net proceeds from the sale of the Notes to refinance, redeem or otherwise repay the Parent's remaining outstanding 7.75% Senior Notes due 2026 and 5.00% Senior Notes due 2026 and use any remaining proceeds from the offering for general corporate purposes. The Notes are the senior, unsecured obligations of the Issuer and are fully and unconditionally guaranteed on a senior, unsecured basis by the Parent. The Notes bear interest at a rate equal to 8.50% per year, payable semiannually in arrears on June 15 and December 15 of each year, beginning on June 15, 2026 and will mature on December 15, 2028, unless earlier redeemed or repurchased. Prior to September 15, 2028, the Issuer may redeem some or all of the Notes at any time and from time to time at a price equal to 100% of the principal amount thereof, plus the applicable "make-whole" premium as of, and accrued and unpaid interest, if any, to, but excluding, the applicable date of redemption. On and after September 15, 2028, the Issuer may redeem some or all of the Notes at any time and from time to time at a price equal to 100% of the principal amount thereof plus accrued and unpaid interest, if any, to, but excluding, the applicable date of redemption. In addition, prior to September 15, 2028, the Issuer may redeem up to 40% of the Notes using the proceeds of certain equity offerings at a price equal to 108.500% of the principal amount thereof, plus accrued and unpa
