ITEM 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year. On June 2, 2024, and effective June 4, 2024, the Board of Directors of Adams Diversified Equity Fund, Inc., a Maryland corporation (hereinafter the "Fund"), elected to classify the Board pursuant to provisions of the Maryland General Corporation Law. The Articles Supplementary for the Fund are set out in Exhibit 99.1 and the initial classes of Directors of the Fund are set out in Exhibit 99.2 to this report. Also on June 2, 2024, the Board approved amending the bylaws of the Fund (the "Amended and Restated Bylaws"). The Amended and Restated Bylaws are effective June 2, 2024. A copy of the Amended and Restated Bylaws is included as Exhibit 3.1 to this report and incorporated by reference herein. The following is a summary of certain changes effected by adoption of the Amended and Restated Bylaws, which is qualified in its entirety by reference to the Amended and Restated Bylaws filed as Exhibit 3.1 hereto. The Amended and Restated Bylaws include updates to (1) director nominee qualifications and related disclosure and certification requirements required in shareholder nominee submissions, (2) incorporate clarifying language consistent with Maryland law and existing practices, and (3) make various non-substantive changes. Director Qualifications . The Amended and Restated Bylaws clarify experience and service standards for director nominees, including matters related to conduct and fiduciary responsibilities. The changes also clarify related disclosure and certification requirements in shareholder nominee submissions. Updates Consistent with Maryland Law and Existing Practices . The Amended and Restated Bylaws incorporate language clarifying, among other things, (1) committee operations, (2) the ability to conduct virtual meetings, (3) the treatment of stock certificates, and (4) existing practices such as householding periodic reports.
