Item 7.01. Regulation FD Disclosure. On January 30, 2025, Atlas Energy Solutions Inc. (the "Company") issued a press release announcing that, subject to market conditions, it intends to conduct an underwritten public offering (the "Offering") of 10,000,000 shares of its common stock, par value $0.01 ("Common Stock"), pursuant to a shelf registration statement (the "Registration Statement") on Form S-3 (File No. 333- 279434) previously filed with the U.S. Securities and Exchange Commission that became effective upon filing on May 15, 2024. In addition, the Company intends to grant the underwriters a 30-day option to purchase up to an additional 1,500,000 shares of Common Stock, on the same terms and conditions. A copy of the press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.
