01 Entry into a Material Definitive Agreement

Item 1.01 Entry into a Material Definitive Agreement On December 17, 2024, Advanced Flower Capital Inc. (the "Company") entered into an unsecured revolving credit agreement (the "Credit Agreement"), by and among the Company, as borrower, the lenders party thereto from time to time, and AFC Finance, LLC, as agent and lender. AFC Finance, LLC is wholly owned by Leonard M. Tannenbaum, Chairman of the Company's Board of Directors. The Credit Agreement provides for an unsecured revolving credit facility (the "AFC Credit Facility") with a $40 million commitment, which may be borrowed, repaid and redrawn, subject to a draw fee and the other conditions provided in the Credit Agreement. Interest is payable on the AFC Credit Facility at a rate per annum equal to 8.00%. The AFC Credit Facility matures on the earlier of (i) December 31, 2025 and (ii) the date of the closing of any Refinancing Indebtedness (as defined in the Credit Agreement) with an aggregate principal amount equal to or greater than $40 million. The foregoing description of the Credit Agreement is qualified in its entirety by reference to the terms of the Credit Agreement, a copy of which is filed as Exhibit 10.1 to this Current Report on Form 8-K and incorporated by reference herein.
