03 AMENDMENT TO ARTICLES OF INCORPORATION OR BYLAWS; CHANGE IN FISCAL YEAR
ITEM 5.03 AMENDMENT TO ARTICLES OF INCORPORATION OR BYLAWS; CHANGE IN FISCAL YEAR On February 27, 2024, Ashford Hospitality Trust, Inc. (the "Company"), by resolution of its board of directors (the "Board"), adopted Amendment No. 7 to the Second Amended and Restated Bylaws of the Company (the "Bylaw Amendment"). The Bylaw Amendment reduced the quorum required solely for the 2024 annual meeting of the Company's stockholders from a majority to at least one-third of all votes entitled to be cast at such meeting, as permitted under the Maryland General Corporation Law. Retail brokers have adopted policies whereby they will not cast discretionary votes (including auditor ratification) in the absence of retail shareholder instructions. The Company has seen a generally increasing number of retail holders become shareholders in the Company over the past several years as compared to historical levels. In order to ensure a sufficient quorum and allow the Company to hold the 2024 annual meeting, the Company is decreasing the quorum requirement solely for the 2024 annual meeting. In addition, the Bylaw Amendment removes the requirement that a director, upon attaining the age of 70 and annually thereafter, or an individual who would be 70 years of age at the time of his or her election as a director, may not serve on the Board unless the Board waives such limitation. The Bylaw Amendment is effective as of February 27, 2024.
