(the "Transferor"), a wholly-owned subsidiary of Senmiao Technology Limited (the "Company"), consummated the previously announced transaction (the "Acquisition") contemplated by the Acquisition Agreement with Debt Assumption Takeover (the "Acquisition Agreement") with Jiangsu Yuelaiyuexing Technology Co., Ltd. (the "Purchaser"), and other parties thereto, including the acquisition by the Purchaser of 100% of the Transferor's equity interest in Hunan Xixingtianxia Technology Co., Ltd. (the "Target"), a wholly-owned subsidiary of the Transferor. The pro forma financial information required to be filed by Item 9.01(b) of Form 8-K is filed as Exhibit 99.1 to this Current Report.
