Item 7.01 Regulation FD Disclosure. On January 9, 2025, Allegro MicroSystems, Inc. (the "Company") completed the allocation of a $375 million U.S. dollar-denominated first lien term facility maturing in October 2030 (the "Refinancing and Repricing Facility"). The applicable interest rate margin for term loans is expected to be (i) 2.0% for term loans bearing interest at a rate based on the secured overnight financing rate and (ii) 1.0% for term loans bearing interest at the base rate. The Company intends to use the proceeds of the Refinancing and Repricing Facility at closing to refinance in full the Company's existing term loans. The final terms of the potential refinancing and the Refinancing and Repricing Facility will be disclosed upon the completion of the transaction. The foregoing transactions are subject to customary conditions and are expected to close in February 2025. However, there can be no assurance that the Company will be able to successfully complete the transaction on the terms described above, or at all.
