01 Regulation FD Disclosure
Item 7.01 Regulation FD Disclosure. On March 6, 2024, Autoliv, Inc. ("Autoliv") issued a release (the "Release") announcing that it has renewed its Euro Medium Term Note Programme (the "EMTN Programme"). Under the EMTN Programme, Autoliv may issue, from time to time, notes guaranteed by Autoliv ASP, Inc. (the "Guarantor") in the equivalent amount of up to EUR 3,000,000,000 in various currencies. The EMTN Programme was renewed for a period of one year. A copy of the Release is furnished herewith as Exhibit 99.1. Notes issued under the EMTN Programme have not been, and will not be, registered under the Securities Act of 1933, as amended (the "Act"), will only be offered and sold outside the United States to non-U.S. persons in offshore transactions in reliance on Regulation S under the Act and may not be offered or sold within the United States or to, or for the account or benefit of, U.S. persons absent registration or an applicable exemption from registration requirements under the Act. The information in this Current Report on Form 8-K (including Exhibit 99.1) is being furnished and shall not be deemed to be "filed" for purposes of Section 18 of the United States Securities Exchange Act of 1934, as amended (the "Exchange Act"), or otherwise subject to the liabilities of that section, nor shall it be deemed to be incorporated by reference in any filing under the Act or the Exchange Act, regardless of any general incorporation language in such filing.
