Item 5.07 Submission of Matters to a Vote of Security Holders. On May 21, 2024, the Company held its Annual Meeting, the results of which were reported in the Original Form 8-K, filed on May 23, 2024. As reported in the Original Form 8-K, at the Annual Meeting, in accordance with the recommendation of the Company's Board of Directors, the Company's stockholders recommended, by advisory vote, that future advisory votes on the compensation of the company's Named Executive Officers be held annually. In accordance with these results and its previous recommendation, on July 22, 2024, the Company's Board of Directors determined that future advisory votes on the executive compensation of the Company's Named Executive Officers will be held every year until the next required advisory vote on the frequency of stockholder votes on executive compensation.
