On November 9, 2023, Abercrombie & Fitch Co. (the "Company") filed a Current Report on Form 8-K (the "Original Form 8-K") announcing the appointment of Arturo Nuez to the Company's Board of Directors (the "Board") effective November 7, 2023. In accordance with Instruction 2 to Item 5.02 of Form 8-K, the Company is filing this Amendment No. 1 to the Original 8-K (this "Amendment") to provide information regarding committee assignments for Mr. Nuez, which had not been determined at the time of the filing of the Original 8-K. On June 12, 2024, upon the recommendation of the Nominating and Board Governance Committee of the Board, the Board appointed Mr. Nuez to serve as a member of the Audit and Finance Committee of the Board and as a member of the Environmental, Social, and Governance Committee of the Board, with such appointments to be effective immediately and with such service to be at the pleasure of the Board. Except as expressly set forth herein, this Amendment does not amend the Original 8-K in any way and does not modify or update any other disclosures contained in the Original 8-K.
