Item 8.01 Other Events. On July 31, 2024, American National Group Inc., a Delaware corporation ("ANGI" or the "Company"), filed a Current Report on Form 8-K (the "Original Form 8-K") which included as Exhibit 99.1 thereto audited consolidated financial statements of American National Group, LLC as of December 31, 2023 (successor) and 2022 (successor) and for the year ended December 31, 2023 (successor), for the period from May 25, 2022 through December 31, 2022 (successor), the period from January 1, 2022 through May 24, 2022 (predecessor), and for the year ended December 31, 2021 (predecessor), including the related notes, Schedule I,Schedule II, Schedule III and Schedule IV, and report of independent registered public accounting firm (collectively, the "ANAT Audited Financial Statements"). This Amendment No. 1 on Form 8-K/A is being filed solely for the purpose of filing a revised version of the report of independent registered public accounting firm of Deloitte & Touche LLP, which clarifies the auditing standard applicable to the audits and removes reference to auditing standards generally accepted in the United States of America. The revised report of independent registered public accounting firm attached hereto supersedes and replaces in its entirety the report of independent registered public accounting firm filed with the Original Form 8-K. This Amendment also includes the previously filed ANAT Audited Financial Statements, including the related notes, Schedule I,Schedule II, Schedule III and Schedule IV, which remain unchanged from the disclosure contained in the Original Form 8-K.
