(the "Company") issued a press release announcing that it filed with the Securities and Exchange Commission a notification of late filing on Form 12b-25 pursuant to which it reported that its Annual Report on Form 10-K for the year ended December 31, 2023 (the "Form 10-K") will not be filed within the prescribed time period and that it intends to file the Form 10-K within the 15-day grace period ending March 15, 2024. A copy of ARMOUR's press release announcing the filing of the Form 12b-25 is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
