(the "Company") held on June 12, 2024, the Company's stockholders approved an amendment to the Company's Restated Certificate of Incorporation (the "Certificate of Incorporation") to provide for the exculpation of certain officers from liability in connection with certain claims brought by stockholders as permitted by Section 102(b)(7) of the Delaware General Corporation Law (the "Amendment"). A more detailed summary of the Amendment is included in Proposal 5 of the Company's Definitive Proxy Statement on Schedule 14A filed with the Securities and Exchange Commission on April 24, 2024 (the "Proxy Statement"), which summary is incorporated in its entirety herein by reference. The Amendment had previously been approved by the Company's Board of Directors. On June 13, 2024, the Company filed a Certificate of Amendment to the Certificate of Incorporation containing the Amendment (the "Certificate of Amendment") with the Delaware Secretary of State, which became effective upon filing.
