Item 8.01 Other Events. On October 21, 2025, Aveanna Healthcare Holdings Inc. (the "Company") entered into an underwriting agreement (the "Underwriting Agreement") by and among the Company, certain selling stockholders affiliated with J.H. Whitney Equity Partners VII, LLC (the "Selling Stockholders") and Jefferies LLC and J.P. Morgan Securities LLC, as representatives of the several underwriters named therein (the "Underwriters"), providing for the offer and sale by the Selling Stockholders (the "Secondary Offering") of 10,000,000 shares of the Company's common stock, par value $0.01 per share (the "Common Stock") at a public offering price of $9.00 per share. In addition, the Selling Stockholders granted the Underwriters a 30-day option to purchase up to an additional 1,500,000 shares of the Company's Common Stock. The Secondary Offering closed on October 23, 2025. The Company did not issue or sell any Common Stock in the Secondary Offering and did not receive any proceeds from the Secondary Offering. The foregoing description of the Underwriting Agreement is qualified in its entirety by the terms of such agreement, which is incorporated herein by reference and attached to this report as Exhibit 1.1.
