Item 5.07 Submission of Matters to a Vote of Security Holders. On September 13, 2024 (the "Voting Record Date"), in accordance with the applicable provisions of the Delaware General Corporation Law, the Board of Directors of Awaysis Capital, Inc. (the "Company") adopted resolutions approving the following proposed action (the "Action"): 1. To authorize, but not require, a reverse stock split of the Company's common stock at a ratio of up to 1-for-20, as determined by the Co-Chief Executive Officers of the Company (the "Reverse Split"), and to adopt and file a Certificate of Amendment to the Company's Articles of Incorporation, as amended, to reflect the Reverse Split as, if and when effected. On the Voting Record Date, the Company had approximately 352 million shares of its common stock outstanding and entitled to vote on the Action. Each share of common stock outstanding as of the close of business on the Voting Record Date was entitled to one vote. On the Voting Record Date, the Company received a written consent approving the Action from stockholders holding an aggregate of approximately 298 million shares of common stock, representing approximately 84% of the outstanding shares of common stock entitled to vote on the Action.
