Item 5.02 Departure of Directors or Certain Ocers; Election of Directors; Appointment of Certain Ocers; Compensatory Arrangements of Certain Ocers. Effective February 14, 2024, AXIL Brands, Inc. (the "Company") effected an amendment (the "Equity Incentive Plan Amendment") to the Company's 2022 Equity Incentive Plan (the "Plan"), which increased the authorized shares for issuance under the Plan by an additional 15,000,000 shares to an aggregate of 25,000,000 shares available under the Plan. The Equity Incentive Plan Amendment was effected pursuant to prior authorization of the Company's Board of Directors and the requisite shareholders of the Company as more fully described in the Company's Schedule 14C filed with the Securities and Exchange Commission on December 4, 2023.
