(the "Company") issued a press release announcing that it has entered into a definitive agreement to acquire The CoverFlexx Group from Transtar Holding Company for initial cash consideration of $285 million, plus an additional $10 million earnout based on the business's 2024 performance (the "Acquisition"). Closing on the Acquisition is expected to occur in the third quarter of 2024 and is subject to regulatory approval and other customary closing conditions.
