Item 8.01 Other Events. On December 15, 2025, BayFirst Financial Corp. announced it has closed its loan sale to Banesco USA as of December 12, 2025. The Company sold $94.6 million of SBA 7(a) loans and exited the SBA 7(a) lending business early in the fourth quarter with Banesco USA to assume servicing of the Company's remaining SBA 7(a) loans. A copy of this press release is included as Exhibit 99.1 to this report and incorporated by reference.
