Item 8.01 Other Events. On December 31, 2024, Bread Financial Holdings, Inc. (the "Company") issued a notice of redemption to redeem all of its outstanding 7.000% senior notes due 2026 (the "2026 Notes"). The redemption is expected to occur on January 15, 2025 (the "Redemption Date"). The 2026 Notes were issued under an indenture dated as of September 22, 2020, by and among the Company, the guarantors party thereto and U.S. Bank Trust Company, National Association (as successor to MUFG Union Bank, N.A.) as trustee (the "Indenture"). The 2026 Notes will be redeemed pursuant to Article 3 of the Indenture. The 2026 Notes will be redeemed at par, plus accrued and unpaid interest to, but not including, the Redemption Date. This Current Report on Form 8-K does not constitute a notice of redemption for the 2024 Notes.
