Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year. On December 12, 2024, the Board of Directors (the "Board") of The Beachbody Company, Inc. (the "Company") approved and adopted amendments to the Company's amended and restated bylaws (as amended, the "Second Amended and Restated Bylaws"), which became effective the same day. Among other things, the amendments contained in the Second Amended and Restated Bylaws: address the universal proxy rules adopted by the U.S. Securities and Exchange Commission, by clarifying that each stockholder entitled to vote at a meeting of stockholders may authorize another person or persons to act for such stockholder by proxy in a transmission permitted by Rule 14a-19 under the Securities Exchange Act of 1934, as amended require that a stockholder directly or indirectly soliciting proxies from other stockholders use a proxy card color other than white, which will be reserved for exclusive use by the Board; and enhance procedural mechanics in connection with meeting of stockholders, including requirements related to the keeping of the list of stockholders and provision of notice upon the adjournment of a meeting to another time or place. The Second Amended and Restated Bylaws also incorporate certain modernizing, clarifying, conforming and additional changes.
