Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers. On October 22, 2024, James G. Conroy notified the Company of his intent to resign as the Company's President and Chief Executive Officer and as a member of the Company's Board of Directors (the "Board") to pursue a different opportunity, with such resignation to be effective as of November 22, 2024 (the "Effective Date"). Mr. Conroy's resignation is not the result of any disagreement with the Company on any matter relating to the Company's operations, policies, or practices.
