Item 8.01 Other Events. On March 28, 2024, Capital Bancorp, Inc. ("Capital") and Integrated Financial Holdings, Inc. ("IFHI") issued a joint press release announcing the execution of an Agreement and Plan of Merger and Reorganization, dated as of March 27, 2024, by and between Capital and IFHI, pursuant to which, upon the terms and subject to the conditions set forth therein, Capital and IFHI will merge, with Capital continuing as the surviving entity.
