Item 8.01 Other Events. On September 5, 2024, Capital Bancorp, Inc. ("CBNK" or "Capital") and Integrated Financial Holdings, Inc. ("IFH") issued a joint press release announcing the receipt, on September 4, 2024, of regulatory approval from the Office of the Comptroller of the Currency for the proposed merger of IFH with and into CBNK. CBNK previously announced that it has also received approval from the Federal Reserve Bank of Richmond, acting on delegated authority from the Board of Governors of the Federal Reserve System, for the proposed merger. The joint press release is attached to this Current Report on Form 8-K as Exhibit 99.1 and is incorporated herein by reference.
