Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers. On March 4, 2024, David L. Messenger, Chief Financial Officer of Century Communities, Inc. (the "Company"), notified the Company that he is stepping down effective March 22, 2024 after 10 years with the Company to pursue other opportunities. Mr. Messenger's resignation was not a result of any disagreement with the Company on any matter related to its operations, policies, practices, financial disclosures, or accounting matters. The Company's Board of Directors has initiated a search process to identify the Company's next Chief Financial Officer and expects to evaluate both internal and external candidates for the role. In the meantime, following Mr. Messenger's departure, J. Scott Dixon, the Company's current Assistant Chief Financial Officer, will assume the role of Interim Chief Financial Officer until a permanent successor is appointed. In addition to his new Interim Chief Financial Officer role, Mr. Dixon will continue to serve as the Company's principal accounting officer. Mr. Dixon, age 44, has been with the Company for over 10 years and was promoted to Assistant Chief Financial Officer in May 2022. Prior to serving as Assistant Chief Financial Officer, Mr. Dixon served as Chief Accounting Officer of the Company from November 2016 to May 2022, and prior to that position, he served as the Company's Vice President of Accounting from November 2013 to November 2016. He was instrumental to the Company's initial public offering in 2014 and has been responsible for overseeing the Company's SEC reporting, financial planning and analysis, and directly managing the Company's finance team. Prior to joining the Company, Mr. Dixon worked in Ernst & Young's Audit practice, most recently as a Senior Manager in the audit and assurance practice specializing in real estate.
