On December 18, 2025, Churchill Capital Corp XI (the " Company ") consummated its initial public offering (" IPO ") of 41,400,000 units (the " Units "), including 5,400,000 Units issued pursuant to the full exercise of the underwriters' over-allotment option. Each Unit consists of one Class A ordinary share of the Company, par value $0.0001 per share (the " Class A Ordinary Shares "), and one-tenth of one redeemable warrant of the Company (each, a " Warrant "), with each whole Warrant entitling the holder thereof to purchase one Class A Ordinary Share for $11.50 per share. The Units were sold at a price of $10.00 per Unit, generating gross proceeds to the Company of $414,000,000. Simultaneously with the closing of the IPO, the Company completed the private sale (the " Private Placement" ) of an aggregate of 500,000 units (the " Private Placement Units ") to Churchill Sponsor XI LLC, the Company's sponsor, at a purchase price of $10.00 per Private Placement Unit, generating gross proceeds to the Company of $5,000,000. A total of $414,000,000, or $10.00 per Unit, comprised of $ 411,000,000 of the net proceeds from the IPO (which amount includes up to $14,490,000 of the underwriter's deferred discount) and $3,000,000 of the proceeds of the sale of the Private Placement Units, was placed in a U.S.-based trust account maintained by Continental Stock Transfer & Trust Company, acting as trustee.
