(the "Company") filed a Certificate of Amendment of Certificate of Incorporation of the Company with the Secretary of State of the State of Delaware to increase the number of authorized shares of common stock from 85,000,000 to 100,000,000. As disclosed in item 5.07 of this Current Report on Form 8-K, the Amendment to Certificate of Incorporation was approved by the Company's stockholders at the Company's 2024 annual meeting of stockholders held on June 11, 2024 (the "Annual Meeting").
