On December 26, 2025, the Company held a Special Meeting of Stockholders (the "Special Meeting") to consider and vote on a proposal to approve the exercise in full of warrants to purchase an aggregate of 2,790,340 shares of the Company's common stock (the "Warrants"), issued by the Company on October 29, 2025 (the "Proposal"). The Proposal is described in more detail in the definitive proxy statement for the Special Meeting filed with the Securities and Exchange Commission on November 13, 2025. Stockholders holding an aggregate of 1,037,465 shares of common stock, representing 36.4% of the outstanding shares of the Company's common stock as of the record date, and which constituted a quorum, were present in person or represented by proxy at the Special Meeting.
