On February 15, 2024, Capitalworks Emerging Markets Acquisition Corp (the " Company ") determined that it will hold an extraordinary meeting in lieu of an annual general meeting of shareholders (the " Meeting ") on Thursday, February 29, 2024. The time and location of the Meeting will be set forth in the Company's definitive proxy statement for the Meeting to be filed with the Securities and Exchange Commission. Pursuant to the Company's amended and restated memorandum and articles of association, as amended, prior to the closing of the Company's initial business combination, only holders of the Company's Class B ordinary shares will have the right to vote on the appointment of directors.
