Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers. On September 9, 2025, Jack Tobin, the Managing Director and Chief Accounting Officer of CME Group Inc. (the Company) notified the Company of his decision to retire from the Company. Mr. Tobin will remain in his role as Chief Accounting Officer until October 30, 2026. Mr. Tobin has served in the Chief Accounting Officer role since 2015 and has been with the Company for more than 23 years. His retirement is voluntary and not due to any disagreements regarding the Company's accounting, operations, policies or practices. The Company will initiate a search of potential candidates for the role and Mr. Tobin will work with his successor to support a smooth transition of responsibilities.
