Item 8.01 Other Events Lugano Holding, Inc. (" Lugano "), a Delaware corporation and a subsidiary of Compass Group Diversified Holdings LLC (the " Company " and, together with Compass Diversified Holdings, " CODI "), has advised the Company that Lugano and certain of its subsidiaries filed for protection under Chapter 11 of the Bankruptcy Code (the " Lugano Bankruptcy ") in the United States Bankruptcy Court for the District of Delaware on November 17, 2025. At the request of Lugano, and subject to Bankruptcy Court approval, the Company will enter into a credit agreement with Lugano and certain of its subsidiaries to provide debtor-in-possession financing to Lugano, under Section 364 of the Bankruptcy Code, in an amount not to exceed $12,000,000 (inclusive of any "roll up" of prepetition indebtedness owing by Lugano to the Company) (the " Lugano DIP Loan "). A copy of the press release announcing the Lugano Bankruptcy and Lugano DIP Loan is attached hereto as Exhibit 99.1 and is incorporated by reference herein.
