Item 5.07. Submission of Matters to a Vote of Security Holders. On June 5, 2024, Compass, Inc. (the "Company") held its annual meeting of stockholders (the "Annual Meeting"). The stockholders of the Company voted on the following three proposals at the Annual Meeting, each of which is more fully described in the Company's definitive proxy statement filed with the Securities and Exchange Commission on April 18, 2024: 1. To elect two Class III director nominees, Josh McCarter and Steven Sordello, to serve on the Board of Directors until the Company's 2027 annual meeting of stockholders and until their respective successors are elected and qualified; 2. To ratify the appointment of PricewaterhouseCoopers LLP as the Company's independent registered public accounting firm for 2024; and 3. To approve, on an advisory basis, the 2023 compensation paid to the Company's named executive officers.
