ITEM 8.01 OTHER EVENTS On July 19, 2024, Cosmos Health Inc. (the "Company") announced that, on the same day, it received a notification letter (the "Notification Letter") from the Listing Qualifications Department of The Nasdaq Stock Market ("Nasdaq"), informing the Company that it has regained compliance with the minimum bid price requirement set forth in Nasdaq Listing Rule 5550(a)(2) (the "Minimum Bid Price Requirement"). As previously reported, on March 20, 2024, the Company received a letter from Nasdaq indicating that the Company had failed to maintain a minimum bid price of $1.00 per share for thirty (30) consecutive business days in accordance with Nasdaq Listing Rule 5550(a)(2). The Company had been provided an initial period of one hundred eighty (180) calendar days from March 20, 2024 to regain compliance by the closing bid price of the Company's common stock being at least $1.00 per share for ten (10) consecutive business days. The Notification Letter confirmed that the Company achieved a closing bid price of $1.00 or greater per common share for ten (10) consecutive business days from July 5, 2024 to July 18, 2024, thereby regaining compliance with the Minimum Bid Price Requirement. Accordingly, Nasdaq has determined that this matter is now closed. A press release announcing the matters described above and titled "Cosmos Health Regains Compliance with Nasdaq Minimum Bid Price Rule" is attached hereto as Exhibit 99.1 and incorporated herein by reference.
