Adoption of the 2024 Stock Incentive Plan On March 5, 2024, the Board of Directors (the "Board") of CareView Communications, Inc., a Nevada corporation (the "Company") approved the CareView Communications, Inc. 2024 Stock Incentive Plan ("the 2024 Plan"). The 2024 Plan became effective March 5, 2024 and will terminate on March 4, 2034 (unless terminated earlier as described in the 2024 Plan). The 2024 Plan permits the granting of awards in the form of nonqualified stock options, stock appreciation rights, restricted stock awards, performance awards, performance-based awards and any combination of the foregoing. in the 2024 Plan, a total of 30,000,000 shares of the Company's common stock, par value $0.001 per share ("common stock"), will be available for issuance under the 2024 Plan. Purpose The purpose of the 2024 Plan is to enhance the incentive for participants to contribute to our growth, thereby benefiting the Company and our shareholders, and to align the economic interests of the participants with those of our shareholders by providing (i) key employees of the Company and its subsidiaries, (ii) certain consultants and advisors who perform services for the Company or its subsidiaries, and (iii) members of the Board, with the opportunity to acquire shares of the common stock or receive monetary payments based on the value of such shares. Participation and Administration The 2024 Plan shall be administered by the compensation committee of the Company, and except as specifically reserved to the Board under the terms of the 2024 Plan, the compensation committee shall have full and final authority to operate, manage and administer the 2024 Plan.
