ITEM 8.01 OTHER EVENTS. On March 7, 2024, upon the recommendation of the Corporate Governance Committee of the Company, the Board elected Chad Fargason to serve as the Company's first Non-Executive Chairman of the Board, effective on that date. The election of Mr. Fargason as the Board's Non-Executive Chairman was as a result of the previous announcement of Mr. Payne, the Company's former Chief Executive Officer, ceasing to serve as Executive Chairman of the Board of the Company, effective February 22, 2024. Mr. Fargason joined the Company's Board in 2023 and has served as the Chairman of the Corporate Governance Committee since 2023.
