(Neoris) for consideration to be received by Cemex of approximately U.S.$209 million in cash at closing, subject to certain adjustments related to cash, debt, transaction expenses, and closing working capital. Closing of the sale is subject to the satisfaction or waiver, to the extent permitted under applicable law requirements, of customary closing conditions and is currently expected to take place before the end of 2024.
