Item 8.01. Other Events. On April 19, 2024, DigitalBridge Group, Inc. (the "Company") filed with the Securities and Exchange Commission (the "SEC") a prospectus supplement (the "Prospectus Supplement") to its prospectus dated April 3, 2023 (the "Prospectus"), which was included in the registration statement on Form S-3 (Registration No. 333-271089) filed with the SEC on April 3, 2023. The Prospectus Supplement relates to the resale of up to 8,236,140 shares of the Company's Class A common stock, par value $0.01 per share (the "Class A common stock"), which were issued to the selling stockholders in exchange for the 5.75% Exchangeable Senior Notes due 2025, issued by DigitalBridge Operating Company, LLC in a private placement in July 2020, and supplements and amends the Prospectus. An opinion of the Company's counsel, Hogan Lovells US LLP, regarding the legality of the Class A common stock covered by the Prospectus Supplement described above is filed as Exhibit 5.1 hereto.
