(the "Company") issued a press release announcing its intention to offer, subject to market and other conditions, up to $300 million aggregate principal amount of unsecured senior notes due 2030 (the "2030 Notes") in a private placement in accordance with Rule 144A and Regulation S under the Securities Act of 1933, as amended (the "Securities Act"). A copy of the press release is attached hereto as Exhibit 99.1 and incorporated herein by reference. The 2030 Notes have not been, and will not be, registered under the Securities Act or any state securities laws. The 2030 Notes may not be offered or sold in the United States or to, or for the benefit of, U.S. persons absent registration under, or an applicable exemption from, the registration requirements of the Securities Act and applicable state securities laws.
