Item 8.01 Other Events On January 15, 2025, Nukkleus Inc. (the "Company") announced that it has regained compliance with the market value of listed securities requirement and the market value of publicly held shares requirement by the Nasdaq Stock Market ("Nasdaq"). As a result, the scheduled hearing before the Hearings Panel of Nasdaq to address the potential delisting of the Company's securities has been cancelled. The Company has been notified that its common stock will continue to be listed on Nasdaq under the symbol "NUKK" and the Company's warrants continue to trade on Nasdaq under the symbol "NUKKW.". The Company's shares were previously subject to notice of potential delisting due to non-compliance with these requirements but have now met the necessary thresholds for compliance. The Company will continue to monitor its compliance with all listing standards of Nasdaq.
