02 Departure of Directors
Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers. On February 14, 2024, the Board of Directors (the "Board") of eBay Inc. (the "Company") increased its size to 10 members and appointed Zane Rowe as a member of the Board and the Audit Committee of the Board, effective February 16, 2024. His term will expire at the Company's 2024 annual meeting of stockholders or at such time as his respective successor has been elected and qualified. As a non-employee director, Mr. Rowe is entitled to receive the same compensation paid by the Company to each of its non-employee directors as described under "Compensation of Directors" in the Company's Definitive Proxy Statement for its 2023 Annual Meeting of Stockholders filed with the Securities and Exchange Commission (the "SEC") on April 28, 2023, which description is incorporated herein by reference. In addition, the Company will enter into its form of Indemnity Agreement with Mr. Rowe, a copy of which has been filed as Exhibit 10.01 to the Company's Registration Statement on Form S-1 as filed with the SEC on July 15, 1998. There is no arrangement or understanding between Mr. Rowe and any other persons pursuant to which he was appointed as a director. Furthermore, there are no transactions between Mr. Rowe and the Company that would be required to be reported under Item 404(a) of Regulation S-K.
