The Amendment Agreement is to amend the Original Agreement dated Septmeber 24, 2024 to extend the maturity date of certain promissory notes issued to the Purchasers (the “Notes”) for six months from September 24, 2025 to March 31, 2026 (the “Amended Maturity Date”). Pursuant to the Amendment Agreement, the entire outstanding principal amount of the Notes, together with any accrued and unpaid interest thereon, if any, shall be due and payable in full on the Amended Maturity Date. Pursuant to the Amendment Agreement, the Company also amended and restated the original Notes to extend the maturity date of such Notes from September 24, 2025 to March 31, 2026 (the “Amended and Restated Notes”).
