Item 2.02. Results of Operations and Financial Condition. On January 22, 2025, Eagle Bancorp, Inc. (the "Company") issued a press release, a copy of which is attached hereto as Exhibit 99.1 and is incorporated herein by reference. Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers. (b) On January 21, 2025, Kathy A. Raffa notified the Board of Directors (the "Board") of Eagle Bancorp, Inc. (the "Company") that she will not stand for re-election as a director of the Company at the end of her term, which expires at the Company's 2025 Annual Meeting of Shareholders (the "Annual Meeting"). The decision of Ms. Raffa not to stand for re-election was not the result of any disagreement with the Company on any matter relating to the Company's operations, policies, or practices. Susan Riel, President and Chief Executive Officer of the Company, thanked Ms. Raffa for her years of dedication and loyal service to the Bank and wished her well in her new board experience with a larger public company.
