Item 8.01. Other Events Effective June 1, 2024, the Board effected several leadership and committee changes. Richard Michael Mayoras was appointed Lead Independent Director, replacing Ronald Vargo, who remains on the Board as an independent director. Mr. Vargo was appointed as the Chairman of the Nominating and Corporate Governance Committee of the Board ("NGC Committee"), assuming the role from Robert E. Segert, who will continue to serve as an independent director and a member of the NGC Committee.
