Item 1.01 Entry into a Material Definitive Agreement. On December 13, 2025, National Vision, Inc. (the "Subsidiary"), a Georgia corporation and a subsidiary of National Vision Holdings, Inc. (the "Company"), and Essilor of America, Inc., ("Essilor"), a Delaware corporation, entered into Amendment No. 3 (the "Amendment") to the Letter Agreement dated November 12, 2018, by and between the Subsidiary and Essilor, as subsequently amended (the "Letter Agreement"). The Amendment amends the Letter Agreement to, among other things, extend the initial term by two years from May 31, 2026, to May 31, 2028, and update pricing terms. The foregoing description of the Amendment is qualified in its entirety by reference to the full text of the Amendment, which is filed as Exhibit 10.1 hereto and is incorporated herein by reference.
