Item 8.01. Other Events. Effective Tuesday, December 2, 2025, FirstBank (the " Bank "), subsidiary of FB Financial Corporation, became a member of the Federal Reserve System. As a result, the Board of Governors of the Federal Reserve System assumed the role as the Bank's primary federal regulator, succeeding the Federal Deposit Insurance Corporation. The Tennessee Department of Financial Institutions will continue to serve as the Bank's primary state regulator. The change in the Bank's primary federal regulator will not affect the customers' day-to-day experience with the Bank, and customer deposits continue to be insured by the Federal Deposit Insurance Corporation to the greatest extent permitted by law.
