01. Regulation FD Disclosure
Item 7.01. Regulation FD Disclosure On August 14, 2025, the Company issued a press release announcing the completion of the acquisition of H&T Group plc ("H&T"). A copy of the press release is attached as Exhibit 99.1 to this report and is incorporated herein by reference. The Company funded the acquisition through borrowings under its existing U.S. revolving credit facility. In connection with such funding, the Company terminated that certain Bridge Term Loan Credit Agreement, which was entered into on May 14, 2025 to provide a backstop for the financing of the H&T acquisition and to satisfy certain "fund certain" requirements under United Kingdom law. The information provided in this Item 7.01 (including Exhibit 99.1) shall not deemed to be "filed" for the purposes of Section 18 of the Securities Exchange Act of 1934, as amended, nor shall it be incorporated by reference in any filing made by the Company pursuant to the Securities Act of 1933, as amended, other than to the extent that such filing incorporates by reference any or all of such information by express reference thereto.
