Item 8.01 Other Events. On August 21, 2025, 5E Advanced Materials, Inc. (the "Company") entered into an underwriting agreement (the "Underwriting Agreement") with Konik Capital Partners, LLC, as representative of the several underwriters named therein (collectively, the "Underwriters"), relating to the underwritten public offering by the Company of 2,374,481 shares of the Company's common stock, par value $0.01 per share ("Common Stock"), at a public offering price per share of $3.50 (the "Offering"). In addition, the Company, the Company's directors and executive officers and certain stockholders of the Company also agreed not to sell or transfer any Common Stock without first obtaining the written consent of Konik Capital Partners, LLC, subject to certain exceptions, for 90 days following the closing of the Offering. On August 25, 2025, the Offering closed, and the Company completed the sale and issuance of an aggregate of 2,374,481 shares of Common Stock. The Company received net proceeds of approximately $7.3 million, after deducting underwriting discounts and commissions and estimated offering expenses payable by the Company. The Company currently intends to use the net proceeds from the Offering together with its existing cash, cash equivalents, and marketable securities, primarily for the operation of its small-scale facility, wellfield development and analysis, advanced planning for FEL-3 engineering, general corporate purposes, including, without limitation, working capital, advances to or investments in its subsidiaries and general and administrative matters. The Offering was made pursuant to the shelf registration statement on Form S-3 (File No. 333-276162) (the "Registration Statement"), a prospectus included in the Registration Statement, the preliminary prospectus supplement, which was filed with the Securities and Exchange Commission (the "SEC") on August 21, 2025, and a final prospectus supplement, which was filed with the SEC on August 25, 202
