Item 8.01 Other Events. On August 28, 2025, the board of directors of First Interstate BancSystem, Inc. (the "Company") adopted a new stock repurchase program, pursuant to which the Company has been authorized to repurchase up to $150 million worth of its issued and outstanding shares of common stock on or prior to March 31, 2027, which is the expiration date of the program. Any repurchased shares will be returned to authorized but unissued shares of common stock, as permitted under applicable Delaware law. As of July 31, 2025, the Company had issued and outstanding 104,856,752 shares of its common stock, and at the close of trading on the Nasdaq Stock Market on August 27, 2025, the closing price for the Company's shares of common stock was reported to be $32.20 per share. Under the new stock repurchase program, the Company intends to repurchase its shares through open market purchases, private transactions, block trades, authorized Rule 10b5-1 trading plans (which, if adopted, would permit the Company to repurchase shares when the Company might otherwise be precluded from doing so under applicable securities laws), or otherwise in accordance with applicable federal securities laws, including pursuant to Rule 10b-18 under the Securities Exchange Act of 1934, as amended (the "Exchange Act"). The Company would expect to enter into a Rule 10b5-1 plan only during an open trading window under the Company's Insider Trading Policy. Adopting a written trading plan that satisfies the conditions of Rule 10b5-1 under the Exchange Act would allow the Company to repurchase its shares at times when it might otherwise be prevented from doing so in respect of its self-imposed insider trading blackout periods under the Company's Insider Trading Policy or pursuant to other applicable securities and insider trading laws. If adopted, an independent broker selected by the Company would have the sole authority under the terms and limitations specified in its Rule 10b5-1 trading plan t
