01 Entry into a Material Definitive Agreement
ITEM 1.01 Entry into a Material Definitive Agreement. On October 2, 2024, the Board of Directors (the "Board") of Franklin Wireless Corp. (the "Company") approved a form of Indemnification Agreement and authorized the Company to enter into such Indemnification Agreements with each of the directors and officers of the Company. These indemnification agreements require the Company to indemnify its directors and officers for certain expenses, including reasonable attorneys' fees, judgments, fines, penalties and any and all amounts paid or payable in settlement (including interest), incurred by a director or officer in any action or proceeding arising out of their services as one of the Company's directors or officers or any other company or enterprise to which the person provides services at the Company's request.
