Item 8.01. Other Events. On April 26, 2024, Fluent, Inc. (the " Company ") received a letter from The Nasdaq Stock Market LLC (" Nasdaq ") Listing Qualifications department informing the Company that it has regained compliance with Nasdaq Listing Rule 5550(a)(2), which requires a minimum bid price of at least $1.00 per share for continued listing on The Nasdaq Capital Market. The letter indicated that Nasdaq Staff determined that for the ten consecutive business days prior to April 26, 2024, the closing bid price of the Company's common stock had been at $1.00 per share or greater and, accordingly, the Company regained compliance with Listing Rule 5550(a)(2) and the matter was now closed.
